Terms and Conditions

Terms
  1. Scope

These Terms and Conditions (“Terms”) govern all sales, quotations, invoices, and deliveries of furniture, fixtures, and related goods (“Products”) supplied by A Squared Design Studio to any purchaser (“Client,” “You,” or “Your”). By placing an order, Client agrees to be bound by these Terms, which supersede any conflicting terms in Client’s purchase orders or communications.

  1. Orders and Acceptance

2.1. All orders must be submitted in writing and are subject to a written confirmation.
2.2. Quotations are valid for thirty (30) days unless otherwise stated.
2.3. A Squared Design Studio reserves the right to reject or modify any order prior to acceptance.

2.4. Orders will not be acknowledged until the full deposit payment is received.

2.5. Change orders are not allowed upon approved shop drawings without penalty or additional fee.

2.6. Customer’s Own Material (COM) requirements will be required on quotes and invoices. Requirements are based on the provided specifications and confirmed at the time of the receipt of the materials. The A Squared Design Studio will not be held responsible for additional material needed or defects.  Unless specified, all COM will be shipped to factory address provided by the client.  The client will be responsible for all freight and duty charges associated with each shipment of COM.

  1. Pricing and Payment

3.1. All prices are quoted in U.S. Dollars (USD) unless otherwise stated, exclusive of taxes, duties, tariffs, and shipping.
3.2. Payment terms are [50% deposit | 50% prior to shipping] unless otherwise agreed in writing.
3.3. A late payment fee of 1.5% per month (or the maximum allowed by law) shall accrue on overdue balances.
3.4. A Squared Design Studio reserves the right to require advance deposits or full prepayment for custom, large-scale, customer’s own materials, or international orders.

3.5. All payments are nonrefundable.

3.6. The A Squared Design Studio can repossess any products or place a lien on the associated property that have not been fully paid.  In the event of repossession, the customer will be charged for all costs incurred.

  1. Taxes and Duties

4.1. Client shall be responsible for all sales tax, VAT, import/export duties, tariffs, brokerage, or other governmental charges, unless expressly included in the invoice.
4.2. If A Squared Design Studio is required to pay any such charges, Client shall reimburse A Squared Design Studio upon demand.

  1. Shipping, Delivery, and Risk of Loss

5.1. Delivery dates are estimates only and not guaranteed. A Squared Design Studio shall not be liable for delays beyond its reasonable control.
5.2. Unless otherwise agreed, all shipments are FOB designated warehouse or factory. Risk of loss passes to Client upon tender to carrier.
5.3. Client is responsible for all freight, handling, insurance, storage, and associated charges.

5.4. A Squared Design Studio will store products for 2 business days at no charge.  Orders left after 2 business days are transferred to third party warehouse with additional storage charges.

  1. Inspection and Claims

6.1. Client must inspect all Products immediately upon receipt.
6.2. Any claims for shortages, defects, or damages must be submitted in writing within two (2) business days of delivery.
6.3. Failure to provide timely written notice constitutes acceptance of Products “as is.”

  1. Warranties and Disclaimers

7.1. A Squared Design Studio warrants that Products will be free from material defects in workmanship for a period of one (1) year from delivery.
7.2. Variations in wood, fabric, leather, stone, metal, and other materials are not considered defects.
7.3. A Squared Design Studio makes no warranty as to fitness for a particular purpose or merchantability, except as expressly stated herein.
7.4. Except as provided, Products are sold “AS IS” without further warranty.

  1. Returns and Cancellations

8.1. No returns are accepted on any custom made to order products.  All third-party partner returns require a written authorization from the third-party retailer.
8.2. Approved returns must be shipped freight prepaid and are subject to a restocking fee of up to 30%.
8.3. Custom and special-order items are non-cancellable, non-returnable, and non-refundable.
8.4. Order cancellations must be approved in writing and may incur charges for costs incurred to date.

  1. Intellectual Property

9.1. All designs, drawings, images, catalogs, and marketing materials remain the exclusive property of A Squared Design Studio.
9.2. Client shall not reproduce, distribute, or use such intellectual property without prior written consent.

  1. Limitation of Liability

10.1. A Squared Design Studio shall not be liable for indirect, incidental, special, or consequential damages, including but not limited to lost profits, business interruption, or loss of goodwill.
10.2. A Squared Design Studio’s total liability for any claim shall not exceed the purchase price of the specific Products giving rise to the claim.

  1. Force Majeure

A Squared Design Studio shall not be liable for any delay or failure in performance due to causes beyond its reasonable control, including but not limited to natural disasters, strikes, transportation issues, governmental restrictions, pandemics, or acts of war.

  1. Governing Law and Dispute Resolution

12.1. These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflicts of law principles.
12.2. Any disputes shall be resolved through binding arbitration in [County, Florida] under the rules of the American Arbitration Association, with judgment enforceable in any court of competent jurisdiction.

  1. Indemnification

Client agrees to indemnify, defend, and hold harmless A Squared Design Studio from any claims, damages, or liabilities arising from Client’s misuse, resale, or modification of the Products.

  1. Entire Agreement

These Terms, together with any written agreements signed by both parties, constitute the entire agreement between Client and A Squared Design Studio, superseding all prior oral or written understandings.

  1. About

A Squared Design Studio is a leading independent factory representative in the commercial and residential furnishings industry. A Squared Design Studio does not manufacture any product sold to our clients.   A Squared Design Studio is not held liable for any conflict between the factory and the client.  A Squared Design Studio is a primary agent of materials and/or products and is not liable for installations or installation companies or subcontractors recommended to our clients.  A Squared Design Studio and / or any of its employees will make every effort to support clients with full cooperation from the client.  

  1. Amendments

A Squared Design Studio reserves the right to amend these Terms at any time by posting the revised Terms on its website. The revised Terms shall apply to all transactions initiated after the effective date of such amendments.
