Terms
Orders in the amount of less than $10,000 US Dollars hold terms of 100% Cash in Advance. Orders over $10,000 will hold terms of 50% deposit with order, balance CBD (cash before delivery) unless otherwise agreed and approved. Balance due invoices are issued based on the actual date of shipping. Orders are not considered valid and dates are subject to change until the deposit has been received and the order is acknowledged. For all factory orders, a 50% deposit is required upon order confirmation, a 40% progress payment upon factory ex-works, 10% final payment upon delivery to site. There is a minimum purchase of $5,000 USD for any collection pieces listed on site, orders under are subject to additional freight charges. All orders are subject to acceptance by A Squared Design Studio or Estetica Custom Upholstery.
Payments
Orders will not be fully acknowledged until the deposit payment is received. All payments are non-refundable.
Prices, Quantity, Quality + Specifications
The prices are acknowledged for quantities and specifications as quoted. Any changes in the quantity or specification of the SKU’s during the course of the project may result in a price change.
A Squared Design Studio produces all furniture to meet or exceed hospitality specifications. All frames are made from kiln-dried solid wood. All upholstered furniture is made using CMHR (combustion modified high resilient) foam which passes the highest standard codes of Cal 133 and Cal 117 fire codes. Our Studio offers high-quality contract-grade fabrics and leathers that meet | exceed Cal 117 and NFPA 260 fire codes.
Changing Orders
After shop drawing approvals are received and production has begun, no changes are permitted. In the event changes are required, there will be a review of spec revision to determine wastage at the factory level. If necessary, fees will be invoiced for PO revision. Upon approval of a prototype(s), production will commence and cannot be cancelled at any time. Custom furniture cannot be returned due to personal preference.
Cancellation
Custom Orders
Acknowledged orders cannot be canceled. All orders are custom-made to your specification and are not eligible for cancellation.
Retail Orders
If you have changed your mind about a retail order, simply email us @ design@asquareddesignstudio.com and describe your issues with your purchase. You can cancel your order within 48 hours of confirmation for a full refund. After 48 hours there will be a 30% restocking fee.
Shipping Details + Freight Costs
A Squared Design Studio or Estetica will provide estimated shipping dates after the order is acknowledged. The dates are subject to change at the time of loading due to various reasons beyond our control, for example, the actual size of finished goods, mode of stacking in container or truck, and peak season for shipping. The final freight charges will be adjusted accordingly. Every international order includes sea freight costs up to 10% value of the invoice. Additional ocean freight costs will be billed upon shipping from the factory.
A Squared reserves the right to adjust the freight at the time of shipping from any of our factories. All shipments will be subject to Freight Surcharges. Certificate of Insurance will be provided upon request for an additional $150 per delivery and will cover up to $2M per occurrence. Additional requested coverage per occurrence will require an additional COI for the same amount. Workman’s compensation will be provided upon request for an additional $50 per delivery. All certificates must be requested prior to the invoice and initial deposit.
Storage
A Squared Design Studio and/ or Estetica will provide storage for all completed projects for 5 business days after completion. Additional storage can be requested by the designer or firm. If the request is denied and the customer order cannot be picked up or delivered, your order will be transported to a third-party storage facility with a minimum charge of $150 for pick up and will be charged a fee per cubic foot per day. This also includes any orders stored for a part of a day.
Title + Repossession
Until the final invoice is paid in full, the title of merchandise does not transfer to the customer. In case of payment default, A Squared Design Studio or Estetica can repossess merchandise without notice or place a lien on the client’s property until the balance has been paid in full . Damage in Transit
The delivering carrier is directly responsible for all damage (including all concealed damage) that occurs in transit. The customer should immediately request an inspection upon the receipt of any damaged cartons. All packing materials should be kept in the event of a damaged delivery. Only the consignee can file a claim with the freight carrier. Each claim will need to be documented with detailed photographs. All damages must be reported within 72 hours of receipt of goods.
Product Warranty
A Squared Design Studio and Estetica provide a two-year conditional warranty for private room products and a one-year conditional warranty for interior public space products. A Squared Design Studio provides a five-year limited warranty on all outdoor frame finishes from cracking/flaking/peeling under normal contract use. Outdoor frames must be cleaned regularly to avoid erosion. A Squared Design Studio provides a three-year limited warranty on all outdoor woven products, polycarbonate & polypropylene defects. We warrant the furniture sold to be free from defects in material and workmanship under normal use and service. Under this warranty, our obligation shall be limited to replacing or repairing any furniture deemed defective beginning immediately after delivery to the original purchaser. This warranty does not cover any COM, COL, and/or other customer-provided applications. Our warranty does not apply to any damage caused by shipping, misuse, abuse, or ordinary wear and tear. We do not cover the loss of use or loss of revenue with our warranty. A Squared Design Studio does not cover products where unreasonable, unanticipated, or abusive use is apparent, failure by lack of reasonable and /or necessary care and maintenance, and acrylic tops with umbrella holes.
All products provided to client from a third-party supplier will be covered under the third-party warranty.
Return of Goods Ordered
Custom Orders
No returned goods will be accepted. All furniture is custom-made to order and will not be allowed for return for any reason including personal preference.
Retail Orders
All returned retail orders will be charged a 30% restocking fee. Returned items must be packed in the original packaging or an additional packing fee will be held from the refundable amount. All items being returned in the Miami area will be charged a pick-up fee of $150 fee held from the refundable amount. All pick-ups outside of Miami, Florida will be charged the amount charged from the delivery service and will be held from the refundable amount.
Branding
A Squared and Estetica Custom Upholstery, reserve the right to brand all furniture that is produced for clients through the A Squared or Estetica brands. A Squared or Estetica reserve the right to advertise or market any products produced by A Squared or Estetica as long as proper recognition has been granted to the purchasing designer unless designer has requested in writing not to recognize their name or brand.
Finishes
Due to various parts of furniture components, finish colors may vary slightly. A Squared Design Studio or Estetica will not be held liable for color variation.
COM / COL Requirements
COM (Customers Own Material) and COL (Customers Own Leather) requirements will be provided in your quotation. Requirements are estimated based on the provided specifications and confirmed at the time of the receipt of the materials. A Squared Design Studio or Estetica will not be held responsible for additional yardage needed or defects in COM/COL.
Shipping instructions for COM/COL will be provided upon receipt of the order. If shipping COM/COL direct to any of our factories, each shipment will need to be properly identified with the order number, style, customer name, and fabric name. If A Squared Design Studio handles COM/COL shipments direct to any of our international factories, customers will be invoiced freight, duties, and taxes for shipping.
About
The A Squared Design Studio is a leading independent factory representative in the commercial and residential furnishings industry. A Squared Design Studio does not manufacture any product sold to our clients. A Squared Design Studio is not held liable for any conflict between the factory and the client. A Squared Design Studio is a primary agent of materials and/or products and is not liable for installations or installation companies or subcontractors recommended to our clients. A Squared Design Studio and / or any of its employees will make every effort to support clients with full cooperation from the client.
A Squared Design Studio reserves the right to modify our terms and conditions at anytime.
